Zalman Schapiro, Esq.

Zalman Schapiro is the founder and Managing Partner of Schapiro LLP. He advises private equity sponsors, buyers, sellers, owners, and investors on mergers and acquisitions, private equity transactions, healthcare transactions, and commercial real estate, bringing a general counsel’s perspective to structuring and negotiating the deal.

Before founding the firm, Zalman served for several years as general counsel of a healthcare company — experience that shapes the firm’s healthcare transactions practice.

C. Kevin Chait, Esq.

C. Kevin Chait is a corporate and finance attorney who represents private lenders, private equity sponsors, investors, and privately held companies in sophisticated financing and business transactions. He has significant experience in healthcare financing and regularly represents borrowers in transactions involving skilled nursing and assisted living facilities, physician practices, behavioral health businesses, and other healthcare operating companies.

Kevin also maintains an active mergers and acquisitions and general corporate practice. He regularly advises clients in connection with acquisitions and dispositions, joint ventures, strategic investments, corporate restructurings, post-acquisition integration matters, and corporate governance. He also counsels clients on industry-specific transactional structures and works closely with regulatory counsel to address the legal and operational issues arising in healthcare financings, acquisitions, and other strategic matters.

Kevin’s approach combines careful legal analysis with a practical understanding of deal economics, operational considerations, and the commercial objectives driving each transaction.

D. Max Friedman, Esq.

Max Friedman focuses his practice advising small and medium size businesses in real estate transactions, commercial leasing, general corporate and business law, and commercial litigation. In addition to his position as Of Counsel at Schapiro LLP, Max is a Founder and Managing Attorney of a boutique corporate and real estate law firm in Plano, Texas.

After earning a bachelor’s degree cum laude from The American University in Washington, DC, Max received his law degree from The Rutgers-Camden law school. In law school, Max was a finalist in the Hunter Moot Court Competition and was honored as a Dean’s Scholar — placing him among the school’s top 5% students.

Of Counsel

Sarah Benji, Esq.

Sarah Benji focuses on complex commercial real estate transactions, including acquisitions and dispositions, construction and real estate finance, real estate development and leasing, and loan workouts and restructuring. Her experience includes single and multi-property transactions with a wide variety of real estate assets across the country. She advises clients on multi-million dollar financings with both institutional and non-institutional lenders, represents clients obtaining securitized loans, construction loans, and mezzanine financing, and conducts financing transactions on behalf of lenders.

In addition to representing clients on real estate transactions, Sarah has advised a client preparing for a bond issuance on the Tel Aviv Stock Exchange, and she drafts and negotiates leases, employment contracts, operating agreements, joint venture agreements, and partnership agreements.

Sarah graduated cum laude from New York University’s College of Arts and Sciences in 2011. In 2014, she received her Juris Doctor from Rutgers University School of Law—Newark, where she was a member of the Women’s Rights Law Reporter.
